Definitions

For the purposes of these additional terms, the following definitions apply:

  • Address Lookup Service: A service or software feature that enables users or third parties to submit individual queries in order to retrieve specific address data derived from the ECAD/ECAF datasets.

  • Broker Group: A closely connected group of legal entities where members are authorized brokers, agents, or distributors of third-party products and services.

  • Broker Group Owner: The Client entity that operates and controls a Broker Group and is responsible for Broker Network Services.

  • Broker Group Solution: The system or service provided to enable cost-effective use of EP data within a Broker Group structure.

  • Brokers: Individual entities within a Broker Group that are authorized to act as brokers, distributors, or agents for Principal Products.

  • Client: The entity contracted to use Eircode Data in Solutions and bound by these additional terms.

  • Client Fulfilment Process Services: Services that allow the Client to make EP data available to third-party users for confirming postal address details for subsequent delivery purposes.

  • ECAD/ECAF Datasets: The official Irish address datasets (Eircode Address Database/Eircode Address File) containing comprehensive Irish postal address information.

  • EP Data: Eircode Postcode data derived from the ECAD/ECAF datasets, including postal addresses, postcodes, and related geographic information.

  • Franchisee: Individual franchise operators within a Franchise Group that are authorized to use Franchisee Data Services under the control of the Franchisor.

  • Franchisee Data Services: Services that provide cost-effective use of EP data within a closely connected franchise group structure.

  • Franchise Group: A collection of related legal entities operating under a common franchise arrangement with shared business methods and standards.

  • Franchisor: The Client entity that operates and controls a Franchise Group and is responsible for Franchisee Data Services.

  • IDDQD Product: The proprietary product or service provided by IDDQD Limited for accessing and utilizing Eircode data.

  • Intellectual Property Rights: All legal rights subsisting in and relating to the EP data, including copyright, database rights, and other proprietary interests.

  • Service: The main address lookup and data services provided using ECAD/ECAF datasets.

  • Transactions: Individual queries or data lookups performed against the ECAD/ECAF datasets to retrieve, verify, or validate address information.

  • Web Based Addressing Services: Services that allow limited amounts of EP data to be made available to third parties via publicly available websites for address confirmation purposes.

These additional terms are applicable when using our Service to extract ECAD or ECAF Irish address data.

Additional Terms: Address Lookup Services Using ECAD/ECAF Datasets

Clients that are contracted to use Eircode Data in Solutions must comply with these additional terms.

1. Address Lookup Service (Part 1)

  1. An Address Lookup Service is a service or software feature that enables users or third parties (herein, "Service Recipients") to submit individual queries in order to retrieve specific address data derived from the ECAD/ECAF datasets.
  2. Examples of an Address Lookup Service include:
    1. Form auto-complete fields populated via an address API;
    2. Customer service portals that assist users in verifying postal addresses;
    3. Web-based address finders embedded on websites.
  3. If the Client, provides an Address Lookup Service, they must comply with the following requirements:
    1. The Client must at all times have possession and control of the EP data and any relevant IDDQD Product and under no circumstances shall the Client pass the same to any of its Service Recipients or other third party;
    2. The Client must only offer the Address Look Up Service as a look-up service, which enables its Service Recipients to search for an individual postal address and/or postcode;
    3. Transactions must only be carried out, and the Client must only provide the information set out in paragraph above, in response to an enquiry submitted by a Service Recipient contacting the Client.
    4. Where the Address Look Up Service over the internet the Client only offers the Address Look Up Service on its own publicly available website and not on any third party publicly available website and it must provide its Service Recipients with the "Service Recipient Licence" set out below:
    5. "You are receiving or have received information which is derived from databases (or parts or extracts thereof) of which [the Postcodes Entity] is the owner or creator, or otherwise authorised to use (the "Data"). [The Postcodes Entity] owns, or is licensed, all Intellectual Property Rights which subsist in and/or relate to that Data from time to time. You must not at any time copy, reproduce, publish, sell, let, lend, extract, reutilise or otherwise part with possession or control of or relay or disseminate any part of this information or use it for any purpose other than your own private or internal use. You shall only be entitled to submit a maximum of five (5) enquiries to this look up service per day."
    6. The Client only permits each Service Recipient to submit a maximum of fifteen (15) enquiries to the look up service each day and that the End-User shall only provide responses to a maximum of five (5) such enquiries per day from each of its Service Recipients.

2. Web Based Addressing Services (Part 2)

  1. Web Based Addressing Services exist to allow the Client to make limited amounts of EP data available to third parties in order to confirm certain postal address details where a product or service is being supplied or made available to such third parties via the End User's publicly available website.
  2. Where an End-User wishes to use any such Web Based Addressing Services it must at all times do so on the terms and conditions consistent with this Part 2 of the Fifth Schedule.
  3. If the Client, provides an Address Lookup Service, they must comply with the following requirements:
    1. The Client does not use EP data as contained in the Web Based Addressing Services elsewhere in its organisation or for any purpose other than to operate and use in conjunction with the Web Based Addressing Services.
    2. The Client shall only use the Web Based Addressing Services:
    3. to carry out Transactions for the purpose of capturing, verifying, updating or amending details entered by Service Recipients on the Client's publicly available website;
    4. in conjunction with that Client's publicly available website offering products and/or services to its Service Recipients; and
    5. to carry out Transactions to capture, verify, update or amend details entered by a Service Recipient for the purpose of despatching a product (such purpose may include the provision of the Service Recipient's verified, updated or amended details to a postal or delivery service provider for the purposes of carrying out that despatch) or for the purpose of the provision of a service, in each case that is offered on its publicly available website to that Service Recipient; and shall not use the Web Based Addressing Service for any other purpose.
    6. The Client shall ensure that the Web Based Addressing Service is only used when:
    7. a request is initiated by a Service Recipient of the Client via the Client's publicly available website to verify, update or amend a single postal address or postcode entered by that Service Recipient on the Client's publicly available website; and
    8. upon receipt of that request, to respond by returning a matching postal address or postcode or confirming that the postal address inputted is a match.
    9. The Client not to pass on any part of the EP obtained as a result of using the Web Based Addressing Service to any third parties, unless expressly permitted in accordance with the terms of this Agreement.

Client Fulfilment Process Services (Part 3)

  1. Client Fulfilment Process Services exist to allow Client to make EP data available to third party users of the Client's own services for the limited purpose of confirming certain postal address details for the purposes of the subsequent delivery of such third party user's mail, packages, products or services by the Client.
  2. If the Client, provides Client Fulfilment Process Services, they must comply with the following requirements:

    1. The Client does not use EP data as contained in the Client Fulfilment Process Services elsewhere in its organisation or for any purpose other than to operate and use in conjunction with Client Fulfilment Process Services.
    2. Where the Client uses Client Fulfilment Process Services, the Client shall:
      1. only use Client Fulfilment Process Services for the purpose of making the EP data available to third party users of the Client's own services with whom it has a contractual relationship for the provision of such services (the "Service Users");
      2. only make the EP data available to its Service Users for the purposes of that Service User verifying, updating or amending postal address details and only for the purpose of the subsequent delivery by the Client of the Service User's mail, packages, products or services;
      3. ensure that Service Users do not use the EP data, or any part of it, for any other purpose other than that described in above and shall not supply or make the EP data available to any other third party. For the avoidance of doubt, the Service User may supply a postal address which has been verified, updated or amended using the EP data to the Client for the purposes described above;
      4. not use the EP data, or any part of it, as contained in the Client Fulfilment Process Services for its own internal use or for any purpose other than to operate the Client Fulfilment Process Services as permitted pursuant to this Clause.

Franchisee Data Services (Part 4)

  1. Franchisee Data Services exist to provide for cost effective use of the EP data by an Client where it has established or where it operates a closely connected group comprising other legal entities.
  2. For the purposes of Franchisees Data Services an Client will be described as the Franchisor.
  3. Where an Client wishes to use any such Franchisees Data Services it must at all times do so on the terms and conditions consistent with this Part 4 of the Fifth Schedule.
  4. Where the Client uses Client Fulfilment Process Services, the Client shall:

    1. Each Franchisor shall not permit any Franchisee to use or access the Franchisee Data Services or any EP data for any purpose other than as expressly set out in this agreement. Where a Franchisee wishes to use the EP data in any way other than as expressly set out in this Part 4 the Franchisor shall ensure that it first enters into an Client User Agreement with the IDDQD or other appropriately licensed third party.
    2. The Franchisee Data Services shall only be used by the Franchisor and the Franchisees that participate in that same Franchise Group and not by any other person.
    3. The Franchisor shall remain responsible for the acts and omissions of the Franchisees that participate in its Franchise Groups as though they were its own and shall be responsible for all loss or damage (whether direct or indirect or consequential) howsoever arising out of or in connection with such Franchisees'use of or access to the EP data.
    4. Each Franchisor which receives or uses Franchisee Data Services supplied by IDDQD shall enter into and enforce the terms of a written agreement with each Franchisee that participates in its Franchise Group. The terms of such agreement shall be equivalent to, no less onerous than and shall not grant more extensive rights than those terms relevant to the Franchisee Data Services which are required to be included in the Client Agreement entered into by the Franchisor (including, without limitation, those provisions relating to the licensing and limitations on the use of the EP data, termination, confidentiality, liability and property rights in the EP data) and which only permits each such Franchisee to use the Franchisee Data Services as set out in this Part 4 and not for any other purpose, including any other internal use or for supplying or making available to any other third party.
    5. Each Franchisor shall enter into or shall already have entered into a written contract with each Franchisee which:
      1. authorises the Franchisee to undertake marketing, distributing, supplying, reselling or providing information to, or obtaining enquiries or orders from, third party Service Recipients or potential Service Recipients, in each case in respect of the products and/or services supplied in accordance with a common identity and business format or method;
      2. obliges the Franchisor to provide know-how and/or technical and/or business support to the Franchisee; and
      3. obliges the Franchisee to operate according to specified methods or standards;
      4. in each case in a manner which is consistent throughout the same Franchise Group (the "Franchise Contract").
    6. The Franchisor shall ensure that Franchisee Data Services:
      1. shall be securely held by an Franchisor and only made available and accessible to it and the Franchisees participating in that same Franchise Group with sufficient security to prevent use by any other person (the "Secure Franchise Network");
      2. where made available or is accessible to Franchisees over an electronic network, such electronic network shall be owned or controlled by the Franchisor and the Franchisee Data Services shall only be made available or accessible over a secure electronic connection with technical restrictions to prevent use by any other person (the "Secure Franchise Electronic Network");
      3. shall only be used for the purposes of capturing, completing and/or verifying postal address details of Service Recipients or potential Service Recipients and only provided such details are supplied to the Secure Franchise Network or entered into the Secure Franchise Electronic Network by the Franchisor or the Franchisees participating in that same Franchise Group and not by the Service Recipient or any other person;
      4. is only used in connection with the supply or offers of supply of the products and/or services supplied in accordance with a common identity and business format or method which is specified in the Franchise Contract and/or the provision of information on those products and/or services, in each case to Service Recipients or potential Service Recipients.

Broker Network Services (Part 5)

  1. Broker Network Services exist to provide for cost effective use of the EP data by an Client where it has established or where it operates a closely connected group comprising other legal entities.
  2. In the case of Broker Groups, the relevant closely connected groups are those where an Client and its group members are authorised brokers, agents or distributors of third party products and/or services or where the group members otherwise act on behalf of the supplier of those third party products and/or services and the usage of the EP data by those group members is limited and is essentially for the benefit of that Client in connection with the service it provides to the group members in facilitating the supply of the third party products and/or services.
  3. For the purposes of Broker Network Services an Client will be described as the Broker Group Owner.
  4. Where the Client uses Broker Network Services, the Client shall:
    1. Each Broker Group Owner shall not permit any Brokers to use or access the Broker Group Solution or any EP data for any purpose other than as expressly set out in this Part 5. Where a Broker wishes to use the EP data in any way other than as expressly set out in this Part 5 the client shall ensure that it first enters into an End User Agreement with the IDDQD or other appropriately licensed third party.
    2. Each Broker Group Solution shall only be used by the Broker Group Owner and the Brokers that participate in that same Broker Group and not by any other person.
    3. Each Broker Group Owner shall remain primarily responsible for the acts and omissions of the Brokers that participate in its Broker Groups as though they were its own and shall be responsible for all loss or damage (whether direct or indirect or consequential) howsoever arising out of or in connection with such Brokers' use of or access to the EP data.
    4. Each Broker Group Owner which receives or uses a Broker Group Solution supplied by IDDQD shall enter into and enforce the terms of a written agreement with each Broker that participates in its Broker Group. The terms of such agreement shall be equivalent to, no less onerous than and shall not grant more extensive rights than those terms relevant to the Broker Group Solution which are required to be included in the End User Agreement entered into by the Broker Group Owner (including, without limitation, those provisions relating to the licensing and limitations on the use of the EP data, termination, confidentiality, liability and property rights in the EP data) and which only permits each such Broker to use the Broker Group Solution as set out in this Part 5 and not for any other purpose, including any other internal use or for supplying or making available to any other third party.
    5. Each Broker Group Owner and each Broker participating in the same Broker Group is authorised to act as broker, distributor or agent or otherwise on behalf of principal suppliers (all of which shall be operating in the same industry) of products and/or services (the "Principal Products"), in each case pursuant to a written contract with each such supplier.
    6. Each Broker Group Owner shall enter into or shall already have entered into a written contract with each Broker which permits such Broker to use a service provided by the Broker Group Owner which facilitates both it and the Broker in acting as brokers, distributors or agents for the supply of the Principal Products (the "Broker Contract").
    7. Each Broker Group Solution shall be securely held by a Broker Group Owner and only made available and accessible to it and the Brokers participating in that same Broker Group with sufficient security to prevent use by any other person (the "Secure Broker Network"); where made available or is accessible to Brokers over an electronic network, such electronic network shall be owned or controlled by the Broker Group Owner and the Broker Group Solution shall only be made available or accessible over a secure electronic connection with technical restrictions to prevent use by any other person (the "Secure Broker Electronic Network"); shall only be used for the purposes of capturing, completing and/or verifying postal address details of Service Recipients or potential Service Recipients, which shall only be for and on behalf of the Broker Group Owner and only provided such details are supplied to the Secure Broker Network or entered into the Secure Broker Electronic Network by the Broker Group Owner or Brokers participating in that same Broker Group and not by the Service Recipient or any other person; is only used in connection with the supply or offers of supply of Principal Products, as set out in the Broker Contract, and/or the provision of information on those Principal Products, in each case to Service Recipients or potential Service Recipients.
